QISALIS TERMS OF SERVICE

Last updated: October 17, 2026

1. Acceptance of Terms

By creating an account, subscribing to a paid plan, or otherwise using Qisalis (the "Service," accessible at qisalis.com), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the Service.

2. Eligibility

You must be at least 18 years old to create an account or purchase a subscription. By using the Service, you represent that you meet this requirement.

3. Description of Service

Qisalis provides an AI-guided personal development platform, including an AI coaching companion ("Compass"), structured curriculum content, community features ("Community Circles", which open to members once they have qualified by completing the Six Truths), and optional certification programs. Compass is aware of how you use the Service, as described in our Privacy Policy, so that its guidance fits you.

Qisalis is not a licensed medical, psychiatric, psychological, or therapeutic service. Compass is an artificial intelligence program, not a human therapist, counselor, or medical professional, and nothing in the Service constitutes medical or mental health treatment. If you are experiencing a medical emergency, thoughts of suicide or self-harm, or a crisis of any kind, contact 911 (US), the 988 Suicide & Crisis Lifeline (call or text 988, available 24/7 in the US), or your local emergency services immediately. Do not rely on the Service in an emergency.

3A. Automated Operation; No Human Review; No Real-Time Monitoring

The Service is operated entirely by automated systems, including artificial intelligence. No human reviews or monitors it. No employee, contractor, coach, moderator, or other person at Qisalis reads, reviews, moderates, monitors, or responds to your conversations with Compass, your journal entries, your Safety Plan, your Circle posts, or any alert or safety event, whether in real time or afterward, as part of operating the Service. Every detection, screening, flag, message, text, call, and response described in these Terms or in our Privacy Policy is produced by automated systems acting without human involvement. The one exception is the Feedback box: what you choose to type there is summarized each week and read by the Qisalis team in order to improve the Service. Please leave private details out of it. The optional form for sharing a few words about Qisalis works the same way: the Qisalis team reads what you choose to send there, and your words are shown publicly only if you give permission and we approve them. Nothing from your conversations, journal, Safety Plan, or Circle posts is part of that summary or those words.

Qisalis stores the content and records generated through your use of the Service. Qisalis may access stored information only where required by law or legal process (for example, a subpoena, court order, or lawful investigation, including one concerning whether Qisalis caused harm), or as reasonably necessary to establish, exercise, or defend its legal rights. Because no person monitors the Service, no one at Qisalis will see, be notified of, or be in a position to respond to or intervene in any distress, emergency, or crisis you may be experiencing.

3B. Automated Safety Features and Their Limits

The Service may, as a courtesy and on a reasonable-efforts basis only, use automated systems to look for signs of acute distress in your messages to Compass; to display support information (including 911, 988, and findahelpline.com); and, if you have chosen to set up a Safety Plan, to send an automated text message and then place an automated phone call to a person you designated and who agreed to be contacted. The text and call use fixed wording that contains your first name, say that you may be having a hard time or asked us to reach out if you needed immediate personal support or went silent during a session, and ask the person to check in with you; the call is an automated notification that gives 911 and 988 for anyone who believes you are in immediate danger. They do not include what you wrote. You can cancel an alert in progress, and you can remove a contact at any time. Qisalis does not contact emergency services on your behalf, and does not collect, track, or transmit your device's location.

These features are not an emergency, medical, or crisis service, are not guaranteed, and may fail. They may fail to detect distress, including subtle, indirect, unusual, or non-English expressions of it, or may detect it when it is not present. Texts, calls, and on-screen information may be delayed, filtered, blocked, misdirected, not delivered, or not answered because of latency, network or carrier delays or outages, device settings, power or signal loss, or failures of the artificial intelligence, hosting, messaging, or telephone providers we rely on. The person you designated may be unavailable or may not act. If location services on your device are turned off, emergency services you contact yourself may be unable to find you. If you or anyone else stops, cancels, ignores, or dismisses a message, card, text, or call, nothing further may happen. Qisalis undertakes no duty to monitor you, to detect, prevent, or respond to any distress or emergency, or to ensure that anyone is notified or reaches you.

4. Account Registration

You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. Notify us immediately of any unauthorized use.

5. Subscriptions, Billing, and Automatic Renewal

Qisalis offers, without an account and at no charge, a free lesson and an example conversation. With a free account (an email address you have confirmed; no payment details), you also receive a free taste of Compass limited to three messages in total per person, counted against your confirmed email address. The free taste is provided as is, may be limited or withdrawn at any time, is not therapy and not a crisis service, and is described in our Privacy Policy. It is not a subscription and does not create an obligation to buy; continuing with Compass, the lessons and the other features requires a paid plan.

Certain features require a paid subscription, billed on a recurring basis (monthly or annually, as selected at signup) until cancelled. Your subscription will automatically renew at the then-current price unless you cancel before the renewal date. You may cancel at any time through your account settings; cancellation takes effect at the end of the current billing period, and you retain access through that period's end. There is no free plan: Compass and the other paid features need an active paid plan. Payments are processed by Stripe.

We will provide reasonable advance notice of any price changes before they take effect on your next renewal.

The Foundation plan includes twelve coaching sessions per calendar month. A "session" is a day (in your time zone) on which you send Compass at least one message; on Foundation you may send up to 20 messages on a day that counts as a session. The count resets on the first day of each calendar month. Growth has no session limit.

6. No Refunds

All payments made to Qisalis — subscription charges, one-time purchases, and certification fees — are final and non-refundable, except where required by applicable law. This applies regardless of whether you have used the Service, cancel partway through a billing period, or are dissatisfied with your experience. By completing a purchase, you acknowledge and agree to this policy. Cancelling a subscription stops future charges; it does not refund charges already made.

7. Permanent Credentials

Certain one-time purchases (including Rootwork and Coach Certification levels) require an active paid plan at the time you buy them. Once purchased, they remain available to you whether or not you keep a subscription, for as long as your account stays open and Qisalis operates the Service. They are not refundable per Section 6. Deleting your account ends access to them. If we ever retire or materially change a program you have bought, we will give you reasonable notice.

8. AI-Generated Content

Compass's responses are generated by an artificial intelligence system and may occasionally be inaccurate, incomplete, or inconsistent with what you have actually said or written. You are responsible for evaluating and independently verifying any information, guidance, or suggestion provided by the Service before acting on it. Qisalis is not liable for decisions made in reliance on AI-generated content. You acknowledge that AI-generated responses are inherently unpredictable, may include harmful or inaccurate outputs, and you use the AI features entirely at your own risk.

9. Coach Certification and Coach Directory

Coaches listed in the Qisalis Coach Directory have completed platform-specific certification but are not licensed therapists, counselors, or medical professionals unless independently and separately licensed as such. Qisalis does not supervise, employ, or guarantee the conduct of independent coaches, and is not responsible for the advice, conduct, or outcomes of any coach interaction.

9A. Coach Earnings (Referral Program)

Qisalis may offer a referral program called Coach Earnings. The rules shown in the app under Coach Earnings at the time a commission is recorded apply. As of these Terms: people enrolled in Coach Certification (at any level) and certified coaches earn 40% of each Growth subscription payment made by a person they referred, for that person's first 24 months on Growth, and 15% of each Coach Certification level that person buys, once. Foundation subscriptions earn no commission.

Commissions are calculated on what the referred person actually paid, before tax, and are recorded when Stripe confirms the payment. If a payment is refunded or reversed, its commission is reversed. Commissions are paid monthly, only when at least 30 days old and only when your unpaid total reaches $20 (smaller amounts carry over), into a Stripe account you connect and Stripe verifies. Qisalis may pause payouts; while they are paused, what you earn is recorded and kept for you. We may withhold, reverse, or refuse commissions for fraud, self-referral, abuse, breach of these Terms, or where payment cannot lawfully be made.

You take part as an independent person, not as an employee, agent, or partner of Qisalis. You are responsible for your own taxes, and Stripe may collect tax information and issue tax forms where the law requires. No earnings are promised or guaranteed: what you earn depends on how many people you refer and how long they stay. Coaches see how many people joined through their link and the amounts they have earned; they see a person's first name and join month only if that person chose to share it, and must use it only to welcome them, never to look them up or to contact them outside Qisalis. Do not make false or misleading claims about Qisalis or about earnings, and do not send unsolicited messages in bulk to promote your link. We may change or end the program for future commissions with reasonable notice.

10. User Conduct

You agree not to: share or solicit personal contact information (phone numbers, email addresses, social media handles) with other users or coaches through the Service; harass, threaten, or abuse other users; misrepresent your identity, credentials, or certification status; or use the Service for any unlawful purpose. Qisalis may suspend or terminate accounts that violate these terms, including repeated violations of the contact-information policy.

11. Circles and Community Content

Community Circles are part of the Growth plan and open to a member once they have completed the Six Truths. Qualifying is checked automatically from your own progress record in Qisalis, and Qisalis may close a Circle or change what qualifies a member to join. Content shared within Circles or other community features is user-generated. Qisalis is not responsible for the accuracy, safety, or appropriateness of content posted by other users. Qisalis uses automated tools only, with no human review, to screen Circle posts for contact information and may use automated tools to look for content indicating harm to self or others. Qisalis does not monitor Circles, posts, or members in real time, no person at Qisalis reads or moderates Circle content, and automated screening may miss content or flag it wrongly.

12. Intellectual Property

All original content, curriculum, frameworks, branding, and software comprising the Service are the property of Qisalis and its licensors. You may not copy, reproduce, or redistribute Service content outside your own personal use of the platform, and you may not use automated tools to collect, scrape, or republish it, or use it to build or train a competing product or service.

12A. Your Content

You keep ownership of what you write in Qisalis, including conversations with Compass, journal entries, Circle posts, and Rootwork and Coach Certification submissions. You give Qisalis a limited license to store, process (including with the AI and other service providers described in our Privacy Policy), and display that content as needed to operate the Service for you and, for Circle posts, to the other members of that Circle. Feedback you send us may be used by Qisalis freely to improve the Service. If you choose to send a few words about Qisalis and tick the box giving permission, we may show them publicly, credited as you chose, once we approve them; deleting your account deletes them from our records.

13. Disclaimer of Warranties

The Service is provided "as is" and "as available," without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, or non-infringement. Qisalis does not warrant that the Service will be uninterrupted, error-free, or meet your expectations.

14. Limitation of Liability

To the fullest extent permitted by law, Qisalis and its officers, employees, and affiliates are not liable for any indirect, incidental, consequential, or punitive damages arising from your use of the Service, including damages resulting from AI-generated content, service interruptions, or the conduct of other users or independent coaches.

14A. No Liability for Distress Events, Escalations, Latency, or Delay

This section limits your legal rights. Read it carefully.

TO THE FULLEST EXTENT PERMITTED BY LAW, QISALIS, ITS OFFICERS, EMPLOYEES, CONTRACTORS, AFFILIATES, AND SERVICE PROVIDERS ASSUME NO RESPONSIBILITY AND HAVE NO LIABILITY WHATSOEVER FOR ANY OF THE FOLLOWING, WHETHER OR NOT YOU WERE USING THE SERVICE WHEN IT OCCURRED:

This section applies to every theory of liability, whether in contract, tort (including negligence), strict liability, statute, or otherwise; it applies in addition to Sections 8, 13, 14, 17, and 18; and it survives the end of your account or these Terms. Nothing in these Terms excludes or limits any liability that cannot lawfully be excluded or limited under applicable law (which in some places includes liability for gross negligence, willful misconduct, or fraud); in that case, liability is excluded or limited to the greatest extent the law permits, and the rest of this section continues to apply in full.

15. Indemnification

You agree to indemnify and hold Qisalis harmless from any claim or demand arising from your violation of these Terms or your misuse of the Service.

16. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of California, without regard to conflict-of-law principles.

Agreement to Arbitrate. Any dispute, claim, or controversy arising out of or relating to these Terms or your use of the Service will be resolved through binding individual arbitration, rather than in court, except that either party may bring an individual claim in small claims court if it qualifies. Arbitration will be administered by the American Arbitration Association under its Consumer Arbitration Rules, and will be conducted primarily via remote/virtual videoconference hearings, or in California if an in-person hearing is legally required by the arbitrator.

Class Action Waiver. You and Qisalis agree that any arbitration or proceeding will be conducted only on an individual basis, and not as a class, consolidated, or representative action.

Right to Opt Out. You may opt out of this arbitration agreement by sending written notice to support@qisalis.com within 30 days of first accepting these Terms. If you opt out, disputes will instead be resolved in the state or federal courts located in California, and you and Qisalis both consent to that jurisdiction.

17. Assumption of Risk

Qisalis involves real, sometimes emotionally intense self-reflection — examining thought patterns, past experiences, and personal history. This work can surface difficult feelings, memories, or realizations. By using the Service, you acknowledge and accept this as a real, inherent part of what Qisalis does, not an unexpected side effect.

You specifically assume the risk of:

Qisalis is not a substitute for licensed therapy, medical care, or crisis intervention. If you are in crisis, Section 3 above tells you exactly where to go instead of here.

18. Release of Claims

This section limits your legal rights. Read it carefully.

To the fullest extent permitted by law, by using the Service you release Qisalis, its officers, employees, and affiliates from claims, demands, and causes of action arising from your use of the Service — including claims based on AI-generated content, the conduct of other users or independent coaches, or emotional distress arising from the self-reflection work the Service is built around — except where the claim arises from Qisalis's own gross negligence or willful misconduct, or where a release of this kind is not permitted by applicable law.

This release works alongside, not instead of, Section 14 (Limitation of Liability) and the arbitration terms in Section 16. If any part of this release is found unenforceable in a given jurisdiction, the Severability section below keeps the rest of these Terms standing.

19. Before You Begin — Please Confirm

By creating an account or continuing to use the Service, you confirm:

20. Changes to These Terms

We may update these Terms from time to time. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms. Material changes will be communicated with reasonable notice.

20A. Termination and Account Deletion

You may stop using the Service and delete your account at any time in Account settings. Deleting your account cancels any billing first, erases your account data as described in our Privacy Policy, and ends access to purchased programs. We may suspend or end an account that violates these Terms, that puts other people at risk, or where the law requires it. Provisions that by their nature should continue after an account ends (including Sections 6, 8, 12, 14, 14A, 15, 16, 17, and 18) continue.

21. Severability

If any provision of these Terms is found unenforceable or invalid under the law of a particular jurisdiction, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect. No single unenforceable provision voids the rest of this agreement.

21A. Third-Party Services and Email

The Service relies on third parties for payments, hosting, artificial intelligence, email, and text and telephone delivery. Their own terms apply to their services, and Qisalis is not responsible for their failures (see Section 14A). By creating an account you agree that we may email you about your account, purchases, security, and changes to these Terms.

22. Contact

Questions about these Terms can be directed to support@qisalis.com.
